Municipality Finance issues a GBP 250 million green bond under its MTN programme

Municipality Finance Plc issues a GBP 250 million green bond on 2 November 2021. The maturity date is 16 December 2024. The green bond bears interest at a fixed rate of 0.875% per annum.

The green bond is issued under MuniFin’s EUR 40 billion programme for the issuance of debt instruments. The offering circular and the supplemental offering circular are available in English on the company’s website at www.munifin.fi/investor-relations.

MuniFin has applied for the green bond to be admitted to trading on the Helsinki Stock Exchange maintained by Nasdaq Helsinki. The public trading is expected to commence on 2 November 2021.

BofA Securities Europe SA, Nomura International plc and TD Global Finance unlimited company act as the Joint Lead Managers for the issue of the green bond.

Municipality Finance Plc issues SEK 500 million notes and a GBP 50 million tap to a benchmark on 28 October 2021. The notes are issued under MuniFin’s EUR 40 billion programme for the issuance of debt instruments. SEK 500 million notes

The maturity of the notes is three years, and the maturity date is 28 October 2024. The notes bear interest at fixed rate of 0.197% per annum.

Danske Bank A/S acts as the Dealer for the issue of the notes.

MuniFin has applied for the notes to be admitted to trading on the Helsinki Stock Exchange maintained by Nasdaq Helsinki. The public trading is expected to commence on 28 October 2021.

GBP 50 million tap to a benchmark

Municipality Finance issues a new tranche in an amount of GBP 50 million to an existing benchmark issued on 17 March 2021. With the new tranche, the aggregate nominal amount of the benchmark is GBP 840 million. The maturity date of the benchmark is 17 December 2025. The benchmark bears interest at fixed rate of 0.375% per annum.

HSBC Continental Europe acts as the Dealer for the issue of the new tranche.

MuniFin has applied for the new tranche to be admitted to trading on the Helsinki Stock Exchange maintained by Nasdaq Helsinki. The public trading is expected to commence on 28 October 2021. The existing notes in the series are admitted to trading on the Helsinki Stock Exchange.

Municipality Finance issues two series of RON 100 million notes under its MTN programme

Municipality Finance Plc issues two series of RON 100 million notes on 27 October 2021. The notes are issued under MuniFin’s EUR 40 billion programme for the issuance of debt instruments. The offering circular and the supplemental offering circular are available in English on the company’s website at www.munifin.fi/investor-relations.

The maturity of both series of notes is one year and the maturity date is 27 October 2022. Citigroup Global Markets Europe AG acts as the Dealer for the other issue of the notes and the notes bear interest at a fixed rate of 2.66% per annum. Societe Generale acts as the Dealer for the other one and the notes bear interest at a fixed rate of 3.51% per annum.

MuniFin has applied for the notes in both series to be admitted to trading on the Helsinki Stock Exchange maintained by Nasdaq Helsinki. The public trading is expected to commence on 27 October 2021.

MuniFin acquires funding in several different currencies. Most of the funding is acquired in euros and US dollars. The company hedges its currency related risks in accordance with its risk management principles.

The maturity date of the social bond is 10 September 2035 and it bears interest at fixed rate of 0.05% per annum.

DZ Bank AG, NatWest Markets N.V., Skandinaviska Enskilda Banken AB and Société Générale act as the Joint Lead Managers for the issue of the new tranche.

Municipality Finance Plc’s Board of Directors has decided on the payment of dividend


Based on the authorization of the Annual General Meeting, the Board of Directors of Municipality Finance Plc (“MuniFin”) has decided that a dividend of EUR 0.52 per share, totalling EUR 20,313,174.96, is to be paid from the distributable funds of the company. The dividend will be paid on 25 October 2021 to a shareholder who on the dividend record date 18 October 2021 is registered as a shareholder in the company’s register of shareholders as maintained by the company.

MuniFin clearly fulfils all the prudential requirements set for it. The dividend amount has been already deducted from the Common Equity Tier 1 capital, and thus the distribution of dividend will not impact MuniFin’s capital adequacy or leverage ratio. Further, in the Board’s opinion, the distribution of dividend does not place the fulfilment of the capital requirements or the company’s liquidity in jeopardy.

On 15 December 2020, the European Central Bank (ECB) recommended that, due to the COVID-19 pandemic, until 30 September 2021 significant credit institutions exercise extreme prudence when deciding on dividends. MuniFin’s Annual General Meeting, held on 25 March 2021, authorized the Board of Directors to decide on a dividend of a maximum of EUR 0.52 per share, totalling EUR 20,313,174.96 and its payment in one or more instalments at a time it deems best, taking into account the current authority recommendations. On 23 July 2021 the ECB decided not to extend the dividend recommendation beyond September 2021.

Municipality Finance issues a GBP 25 million tap under its MTN programme

On 4 October 2021 Municipality Finance Plc issues a new tranche in an amount of GBP 25 million to an existing benchmark issued on 17 March 2021. With the new tranche, the aggregate nominal amount of the benchmark is GBP 590 million. The maturity date of the benchmark is 17 December 2025. The benchmark bears interest at fixed rate of 0.375% per annum.

The new tranche is issued under MuniFin’s EUR 40 billion programme for the issuance of debt instruments. The offering circular and the supplemental offering circular are available in English on the company’s website at www.munifin.fi/investor-relations.

MuniFin has applied for the new tranche to be admitted to trading on the Helsinki Stock Exchange maintained by Nasdaq Helsinki. The public trading is expected to commence on 4 October 2021. The existing notes in the series are admitted to trading on the Helsinki Stock Exchange.

Citigroup Global Markets Limited acts as the Dealer for the new tranche.
